1)   Introduction

1.1 Please read these terms and conditions (the “Terms”) carefully as these are the terms of the agreement (the “Agreement”) between Ginealogy Pte. Ltd. (“Ginealogy” or “we” or “us”) and each user of this site (“you” or “user”) and form the basis upon which you use this site. All orders accepted by us shall be subject to this Agreement. If you choose to proceed to use this site, whether or not you purchase anything from us, then you are agreeing or consenting to this Agreement but if you do not agree, then please do not proceed any further, and exit the site immediately.

2) General Terms and Conditions

2.1 By using this site, you represent that you are at least the age of majority in your jurisdiction.

2.2 You understand that your information (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

2.3 Without prejudice to any other provision in this Agreement:

2.3.1 a breach or violation of any of the Terms will result in an immediate termination of our services to you (the “Service”).

2.3.2 we reserve the right to refuse service to anyone for any reason at any time.

2.3.3 you agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the site, use of the site, or access to the site or any contact on the

website through which the Service is provided, without express written permission by us.

2.3.4 we have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee

that your computer monitor’s display of any colour will be accurate.

2.3.5 we do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or

that any errors in the site or the Service will be corrected.

2.4 The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

3) Order Acceptance

3.1 We reserve the absolute right, at our sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being cancelled include limitations on quantities available for purchase; inaccuracies or errors in product or pricing information, or product or ingredient restrictions mandated by local, state, national or international regulations. We may also require additional verification or information before accepting any order. We may attempt to contact you at your email, phone number and/or billing address provided at the time the order was made if all or any portion of your order is cancelled or if additional information is required to accept your order.

3.2 You agree to provide current, complete and accurate purchase and account information for all purchases made on our site. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

3.3 We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

4) Order Returns

4.1 We only allow returns under the following circumstances:

4.1.1 where the product delivered was incorrect and you notified us within three days of delivery;

4.1.2 in the unlikely event the product was damaged and you notified us within 24 hours of delivery; and

4.1.3 where we are notified of the above at our email address: info@ginealogy.com.sg

4.2 For the avoidance of doubt, we are unable to accept returns where you have simply changed your mind.

4.3 Products returned must be the same as those supplied, no substitutions are permitted. Products must be returned in exactly the same condition as they were supplied.

4.4 We will arrange for a replacement to be sent in the first instance. However, should that product be unavailable, we will arrange for a refund to be made to you.

5) Delivery Policy

5.1 We work with a third party delivery service who need time to collate the orders and dispatch them. Hence the times indicated

are supplied by the third party delivery service and cannot be adjusted.

5.2 Delivery time is between 9:00 am and 11:00 pm, except on Sundays and Public Holidays.

5.3 Delivery service is available to Singapore addresses only.

5.4 Please ensure that the recipient's address is correct and someone is around to receive the delivery. In the event there is no one to receive the delivery, the items will be returned to our office or placed outside their doorstep. In the event the item was returned to our office, a re-delivery fee of S$8.00 will be imposed.

Standard Delivery Terms:

5.5 Standard delivery is made within 1-3 working days after the order is received and a delivery fee of S$5.00 will be levied.

5.6 Your order must be received by 4pm for it to be included in that day’s consolidation of orders. Any orders after 5pm will be considered as having been received the following day. Please see the following examples to illustrate this:

Example 1: you place your order on day T before 4pm. You will receive your order at the earliest on day T+1 (assuming day T+1 is not a Sunday or Public Holiday).

Example 2: you place your order on day T after 4pm. You will receive your order at the earliest on day T+2 (assuming day T+2 is not a Sunday or Public Holiday).

Example 3: you place your order on day T, which is a Saturday, before 4pm. You will receive your order at the earliest on day T+2 (i.e. the following Monday).

5.7 If we receive your order on a Sunday or Public Holiday, it will be processed on Monday or the following working day (respectively).

Same Day Delivery Terms:

5.8 Your order must be received by 12 noon in order to receive it the same day. A delivery fee of S$15.00 will be levied for same day deliveries.

6) Pricing / Errors

6.1 Our prices and product availability are subject to change without notice.

6.2 We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time at our sole discretion.

6.3 We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

6.4 Occasionally there may be information on our site or a related website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and/or to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

6.5 We undertake no obligation to update, amend or clarify information on the site or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied on the site or on any related website, should be taken to indicate that all information on the site or on any related website has been modified or updated.

7) Quantity Limits, etc.

7.1 We reserve the right, but are not obligated, to limit the sales of our products or to limit providing the Service to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis.

7.2 We reserve the right to limit the quantities of any products that we offer in any manner as we deem fit.

7.3 All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

8) Site Usage / Termination of Usage

8.1 You are solely responsible and must agree to maintain the security of your account on the site, and the security of your password and other confidential information. You agree to be responsible for all charges resulting from the use of your account on the site, including charges resulting from unauthorized use of your account prior to your taking steps to prevent such occurrence by changing your password and notifying Ginealogy.

8.2 You agree that you will not access this site from any territory where its contents are illegal, and that you, and not Ginealogy and its affiliates, are responsible for compliance with applicable laws.

8.3 In addition to other prohibitions as set forth in the Terms, you are prohibited from using the site or its content: for any unlawful purpose; to solicit others to perform or participate in any unlawful acts; to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; to infringe upon or violate our intellectual property rights or the intellectual property rights of others; to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; to submit false or misleading information; to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; to collect or track the personal information of others; to spam, phish, pharm, pretext, spider, crawl, or scrape; for any obscene or immoral purpose; or to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet.

8.4 You agree that Ginealogy may terminate or suspend your access to all or part of this site, without notice, for any conduct that Ginealogy, in its sole discretion, believes is in violation of these Terms or any applicable law or is harmful to the interests of another user, Ginealogy or its affiliates.

8.5 Upon any termination of the Agreement by either you or us, you must promptly destroy all materials downloaded or otherwise obtained from this site, as well as all copies of such materials, whether made under the Terms or otherwise.

9) Copyright and Trademarks

9.1 All website design, text, graphics, sound, software and other content, and the selection and arrangement thereof, are the property and/or intellectual property of Ginealogy. All rights to such materials are reserved to their respective copyright owners. You may electronically copy and print in hard copy portions of this website for the sole purpose of placing an order with us.

9.2 You cannot make use of the materials on this site, including without limitation reproduction for purposes other than noted above, modification, distribution, replication, commercial or other exploitation, or creation of derivative works, without our permission.

9.3 Ginealogy, and all logos, page headers, custom graphics and icons are service marks and/or trademarks of Ginealogy or its licensors or affiliates. All other trademarks, service marks, product names and company names or logos that appear on this site are the property of their respective owners.

10) No Warranty – Disclaimer

10.1 Ginealogy is providing this site and its contents on an “as is” basis. Ginealogy and its affiliates do not make any representations or warranties, express or implied, of any kind, regarding this site or its contents, including without limitation the products, information or services offered or sold on or through this site or any related site and the uninterrupted and error-free use of this site. Ginealogy and its affiliates expressly disclaim all such representations and warranties, including without limitation all warranties of merchantability, accuracy, timeliness, completeness, fitness for a particular purpose and non-infringement. Ginealogy and its affiliates do not warrant that the site or files available on the site will be free from corrupted data, computer viruses or similar destructive or contaminating code. No oral or written statements by Ginealogy or its affiliates will create any warranty not expressly set forth herein. Your use of this site and any linked site is at your sole risk.

11) Limitation of Liability

11.1 Ginealogy and its affiliates shall not under any circumstances be liable for any damages of any kind arising out of, in connection with or relating to the use of or inability to use this site, including without limitation any liability as a publisher of information, as a reseller of any products or services, for any defective products, for any incorrect or inaccurate information, for any unauthorized access to or disclosure of your transmissions or data, for statements or conduct of any third party on the site, or for any other matter relating to this site or any linked site. This is a comprehensive limitation of liability that applies to all damages of any kind, including without limitation any direct, indirect, special, incidental or consequential damages (including without limitation damages for loss of business, loss of profits, loss of good will, loss of use, loss of data, cost of procuring substitute goods, services or information, litigation or the like, as well as any deterioration in health, including death), whether based on breach of contract, breach of warranty, tort (including without limitation negligence), product liability or otherwise, even if you advise of the possibility of such damages. The limitations of liability set forth herein are fundamental elements of the basis of the bargain between Ginealogy and you. The products, information and services offered on and through this site would not be provided without such limitations. Because the law of some jurisdictions may not allow for the exclusion of

certain damages, in such jurisdictions, liability is limited to the fullest extent permitted by law. Notwithstanding the foregoing, the sole and entire maximum liability of Ginealogy and its affiliates for any reason, shall be limited to the amount paid for any product, information or service purchased from and on this site.

12) Indemnification

12.1 You agree to indemnify, defend and hold harmless Ginealogy and our affiliates from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

13) Termination

13.1 The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

13.2 These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

14) Applicable Law and Jurisdiction

14.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute and/or claim arising from the use of this site and/or its products must be subject to the jurisdiction of the courts of Singapore.

15) Severability; Interpretation

15.1 If any provision of this Agreement shall be deemed unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, the validity and enforceability of any remaining provisions shall not be affected.

15.2 When used in this Agreement, the word “including” shall be deemed to be followed by the words “without limitation”.

15.3 “Terms” means the terms of this Agreement as may be modified or supplemented from time to time.

15.4 “Affiliates” means Ginealogy’s officers, employees, interns, agents, licensors, contractors, suppliers, service providers, subcontractors, collaborators and content providers, from time to time.

16) Entire Agreement

16.1 This Agreement constitutes the entire and only agreement between Ginealogy and each user of this site with respect to the subject matter of this Agreement and supersedes any and all prior or contemporaneous agreements, representations, warranties and understandings, written or oral, with respect to the same subject matter. You agree to review this Agreement prior to your use of this site and your use of this site shall be deemed acceptance of this Agreement by you.

17) Changes to Terms of Agreement

17.1 This information was last updated on 16 December 2020. We may, in our sole discretion, amend the Terms from time to time so you must check this Agreement from time to time for any possible changes. Use of this website after any modification implies that you consent to this Agreement as modified, even if you did not read the new and/or amended Terms before using this site.

17.2 Furthermore, use of this website at any time after you have accepted the Terms shall also be upon the basis that you consent to the Agreement with the latest amended Terms, at each time, even if you have not read the Agreement or the latest amended Terms.

18) Privacy Policy

18.1 Please review our Privacy Policy, which also governs your visit to our website, to understand our practices.

19) No Waiver

19.1 Our failure or our affiliates’ failure to strictly follow any Term shall not constitute a waiver of such Term and shall not be considered a waiver or limit the right of Ginealogy thereafter to insist upon strict adherence to that Term or any other Terms.
